Andrew (Andy) is one of the firm’s founding partners. He is experienced in a wide range of transactions and business counseling, and frequently speaks and writes on business and legal issues. He’s given back to the legal community by serving as Chairman of the Programs Subcommittee of the American Bar Association’s Committee on Technology and Intellectual Property, and as Vice-Chair of the State Bar’s Corporations Committee.

Andy helped build DDR&S into the innovative, thriving law firm it is today, and he is now enjoying a well-deserved retirement.

  • Business formation and start-ups. This includes choosing the right business entity (S or C corporation, general or limited partnership, limited liability company, or limited liability partnership) and structuring the relationship among the founders
  • Buying and selling businesses
  • Counseling executives and companies on executive management, director, shareholder and related corporate counseling, including executive compensation and stock plans, employment agreements, employment terminations and severance packages, consulting agreements, and buy/sell agreements
  • Venture capital and corporate finance for companies and investors
  • Helping wealthy individuals achieve their goals, including venture and other investing, philanthropy, purchases and sales of extraordinary items (airplanes, yachts, luxury homes and other real estate), and retention of personal employees and related infrastructure
  • Intellectual property and technology matters for vendors and users, including computer software licensing, distribution, systems procurement and maintenance, employee and consultant relationships, proprietary protection for copyrights, trademarks and trade secrets
  • Representing families and family offices
  • Structuring and forming partnerships, joint ventures and strategic alliances
  • Settlement and mediation of disputes
  • Structuring business relationships and solving general business problems
