Matt conducts a wide-ranging general corporate and commercial practice.

Matt counsels organizations and individuals through all stages of the business life-cycle. His areas of expertise include matters related to entity formation; financing transactions, both equity and debt; mergers and acquisitions; supply, distribution, development and other commercial agreements; technology transactions; contract administration and analysis; corporate policies and governance; employment and other service agreements; equity and other incentive plans; executive counseling; and real property transactions. In addition, Matt regularly advises clients concerning securities law compliance and other regulatory matters.

Before joining the firm, Matt was Senior Vice President and Deputy General Counsel at OpenTV Corp., a Nasdaq- and Euronext-traded interactive television software company.

Matt graduated from Middlebury College with a B.A in Economics (1991, magna cum laude) and he received his J.D from the University of California's Hastings College of the Law (1994, magna cum laude).
